TERMS OF USE
1.1: ACCEPTANCE OF THE TERMS
1.These Terms of Use (“Terms”) constitute a binding and enforceable legal contract between AGRIBUY.NG LIMITED (“AgriBuy.ng,” “we,” “our,” or “us”)and you.
2. Your access and use of the AgriBuy.ng website and mobile application, including any services, content, data, tools, or features offered through them (collectively, the “Platform” or “Service”) are governed by these terms.
3.By accessing or using AgriBuy.ng, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (as may be updated from time to time). If you do not agree to these Terms, you may not use the Platform.
4.Please also review our Privacy Policy. The terms of the Privacy Policy and other supplemental terms, rules, policies, or documents that may be posted on the Platform from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason with or without prior notice.
1.2: IMPORTANT DISCLAIMERS
2. AgriBuy.ng is not a party to any transaction between buyers, sellers, service providers, or logistics agents using the Platform. We have no control over and do not guarantee the availability, legality, safety, or quality of goods or services listed by users on the platform nor do we guarantee the performance of users of the platform. Therefore, we expressly disclaim any liability in connection to materials and information posted by users on the platform.
3. We encourage you to check the goods before payment and to request the seller to provide documents confirming compliance of the goods with applicable requirements of laws, regulations, rules, guidelines, standards.
4. You acknowledge that you are solely responsible for your safety and you understand that you should meet with other individuals for completion of a transaction only in safe public places in daylight hours. You are solely responsible for conducting due diligence of any individual or organization requesting a meeting to conduct a job interview or to complete a transaction. Agribuy.ng disclaims any responsibility for disputes or harm arising from such interactions.
1.3: ACCOUNT REGISTRATION
2.You may create an Account as an individual or as an authorized representative of a company.
3. You can register only one Account. If more than one person is to accesses the Account from the same device, we may request to upload the proof of identity to avoid duplicate accounts.
4. You acknowledge that you are solely responsible for safeguarding and maintaining the confidentiality of access details to your Account and that you are fully responsible and liable for any activity performed using your Account access details.
5. You hereby represent and warrant to us that you have reached the age of majority or are accessing the Service under the supervision of a parent or legal guardian. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Service. If you are a minor, you must have your parent or guardian read and agree to these Terms prior to you using the Service.
6. Agribuy.ng reserves the right to suspend or terminate your Account, or restrict your access to the Service, with or without notice to you, in the event that: (a) you breach these Terms; (b) we detect suspicious activity on your Account; or (c) we have reasonable grounds to believe that you are engaging in fraudulent activities, scams, creating duplicate profiles, or otherwise misusing the Service. The grounds listed above are not exhaustive, and we reserve the right to take such actions in other circumstances where we deem it necessary to protect the integrity, security, and functionality of the Service or to safeguard the interests of other users and third parties.
7. You agree to immediately notify us of any unauthorized use, or suspected unauthorized use of your Account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements. You may not register more than one account without written authorization. Suspicious or duplicate accounts may be suspended.
1.4: SERVICE
1. AgriBuy.ng is a specialized marketplace for agricultural products, services, machinery, logistics, and learning content.
2. Users (buyers and sellers) can list items and services, interact through in-app chat, video and voice calls, and book logistics services.
3. AgriBuy.ng is not a manufacturer, importer, seller, or employer. We do not mediate transactions between users or offer employment, or logistics agreements.
5. We reserve the right to remove or block listings that violate the law or these Terms, without notice.
6. We may update, modify, or discontinue Platform features at any time.
7. Users are fully responsible for the content they post. AgriBuy.ng does not guarantee the accuracy of user content and is not liable for interactions between users.
8. The Platform may contain links to third-party links or ads (e.g., Google Maps, payment gateways). Agribuy.ng provides these links for convenience and we do not review, monitor, guarantee or make representations with respect to the third-party links.
1.5: POSTING LISTINGS
1. Users must provide accurate and complete information for all listings, including price, availability, and terms.
2. You must keep your contact information active and reachable, especially the listed phone number.
3. Listings must not misrepresent goods or services and must comply with Nigerian law and these Terms.
4. Users must not upload prohibited, false, or misleading content. Content must not infringe intellectual property or promote unlawful acts.
1.6: FEES
1. AgriBuy.ng offers both free and paid services, such as premium listings, advertising services or logistics features.
2. Fees and accepted payment methods are displayed on the Platform and are subject to change.
3. Except where required by law, fees are non-refundable due to the nature of online services.
1.7: USER REPRESENTATIONS AND WARRANTIES
By using AgriBuy.ng website, you warrant that:
1.You are at least 18 years old and legally capable of entering contracts;
2.You will provide accurate account information and keep it updated;
3.You own or are authorized to sell listed goods or provide services;
4.You will not engage in prohibited activities, including:

1.You agree to indemnify and hold harmless AgriBuy.ng and its affiliates, staff, and partners from any claims, losses, liabilities, or expenses arising out of:

AgriBuy.ng shall not be liable for:

10. INTELLECTUAL PROPERTY
1. Information you submit to us as part of your registration, and any data, text, pictures and other materials that you may submit or post on the Platform (the “User Content”) remain your intellectual property, and Agribuy.ng does not claim any ownership of the copyright or other proprietary intellectual property rights in such registration information and the User Content. Notwithstanding the foregoing, you agree that we may retain copies of all registration information and the User Content and use such information and the User Content as reasonably necessary for or incidental to its operation of the Service and as described in these Terms and the Privacy Policy.
2. Materials on the Platform, except those posted by the user, including but not limited to texts, software, scripts, graphics, photos, sounds, music, videos, interactive functions, etc. ("Materials") and trademarks, service marks and logos included in it ("Marks") belong to or are licensed by Agribuy.ng representing items of copyright and of any other intellectual property rights. Any use of such Materials and Marks without our prior notice is not allowed. Notice for Claims of Intellectual Property Violations and Copyright Infringement.
3. If you are a holder of intellectual property rights or a person authorized to act in the name of a holder of intellectual property rights and you reasonably believe that information that is posted to the Platform someway infringes your intellectual property rights or intellectual property rights of a person, in which name you act, you may provide notification to Agribuy.ng requiring us to delete such material. In this regard, you shall warrant that your appeal has a legal basis, and you act in good faith according to law.If you believe your rights are infringed, notify us with proof via support@(…….provide email address)
11. GOVERNING LAW AND DISPUTE RESOLUTION
1.These Terms are governed in accordance with the laws of the Federal Republic of Nigeria.
2. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act (Cap. A18) of the Republic of Nigeria. The number of arbitrators shall be one. The seat of arbitration shall be Asaba Delta State, Nigeria. The language to be used in the arbitral proceedings shall be English.
12. MISCELLANEOUS
1.Except as otherwise provided, if any provision of these Terms is held to be invalid, void, or for any reason unenforceable, such provision shall be struck out and shall not affect the validity and enforceability of the remaining provisions.
2. We may transfer and assign any and all of our rights and obligations under these Terms to any other person, by any way, including by novation, and by accepting these Terms you give us consent to any such transfer or assignment.
3. If we fail to take any action with respect to your breach of these Terms, we will still be entitled to use our rights and remedies in any other situation where you breach these Terms.
4. In no event shall Agribuy.ng be liable for any failure to comply with these Terms to the extent that such failure arises from factors outside our reasonable control.
